Terms of service

Last updated:

These terms are the agreement between you and SpoolStream, a service operated from Québec, Canada, for printing from your applications to the printers on your computers. By creating an account or using the service you accept them. Questions: [email protected].

1. Who the service is for

SpoolStream is for businesses, laboratories, institutions and the people who work for them. It is not offered to consumers. You must be old enough to make a contract where you live, and you must have the authority to bind the organization you register. If you do not, do not register.

2. The service

Your application sends a document to the API, the service keeps the job and wakes the agent on the right computer, and the agent prints it and reports back. Your application sends a document to the API; the service keeps the job and wakes the agent on the right computer; the agent claims the job, downloads and prints it, and reports; you see the state, receive a signed webhook, and can ask for an evidence report.

  • PDF documents and raw label jobs (ZPL, EPL, ESC/POS), on printers attached to your computers.
  • printed means the operating system reported the print complete. It is not proof that paper came out.
  • Every job keeps an append-only history, and a sealed evidence report can be downloaded for it. The seal is tamper evidence, not a qualified electronic signature. The report is evidence of what the system recorded. It is not a signature and not a certification, and it is for you to judge whether it is enough for your own rules.
  • When nobody can know whether a page printed, the job is marked uncertain and is never printed again by the system. A person looks at the printer and decides.

Printing depends on things we do not control: your computers, your printers, your network, your drivers and the paper. We do not promise that a page comes out.

3. Your account and your organization

Registration in the dashboard asks for an email address and a name for your organization, and sends a code to confirm the address. The person who registers becomes the owner of the organization and is responsible for it. An owner can invite members and give each a role of owner, admin, operator or viewer.

You are responsible for everything done with your accounts and API keys. Keep keys secret: API keys and agent credentials are stored only as a keyed hash (HMAC-SHA256 under a secret pepper). A lost key is replaced, never recovered. Tell us at once, at [email protected], if you think a key or an account has been taken over.

4. Acceptable use

You agree to follow the acceptable use policy. It forms part of these terms.

5. Your documents and your data

Documents, job details and everything else you send us remain yours. You allow us to store and process them only as needed to run the service for you, as described in the privacy policy and the data processing addendum. We do not read your documents and we do not use them for anything else. By default a document is deleted from storage 24 hours after its job ends, and 168 hours (7 days) after a failed one, and never while the job is in progress or uncertain.

You are responsible for what you send and for having the right to send it. If your documents contain personal information about other people, you are the one who decides why and how it is used, and we process it for you under the addendum.

6. The agent

The agent is the small program that runs on your computers. We give you a non-exclusive, non-transferable right to install and run it on computers you control, for as long as you use the service and only with the service. You may not copy it for other purposes, sell it, or take it apart except where the law allows it despite this term.

The Windows agent updates itself: a scheduled task takes the release, its hash and its size from the service, installs a strictly newer final release when the agent is idle, and puts the previous version back if the new one does not run. The installer can turn this off, and the service can refuse an agent older than a minimum version. You are responsible for installing the versions you are told are required.

7. Fees and billing

No plan and no price is defined yet: every organization is unlimited until an operator sets a limit. Charging for the hosted service through Stripe is planned and not live: no Stripe account is connected and no price is set, so nobody is charged, and the only plan is the free unlimited one.

When we offer paid plans, we will publish their prices and what they include, and we will tell you at least 60 days before a price applies to you. A price change applies from your next renewal. Until you agree to a paid plan, nothing is charged.

When billing exists: Payment cards are entered on Stripe's own pages: no card data reaches SpoolStream. Stripe receives a customer record carrying the organization's identifier, and one total per counted quantity for each closed period. The owner of an organization cancels from the dashboard (Settings, Billing), and the cancellation takes effect at the end of the period Stripe bills; payment methods, invoices and receipts are managed on Stripe's own pages, opened from the same screen. An unpaid subscription can refuse only four things: new jobs, new computers, new API keys and new members. A job already accepted finishes, the agents are never cut off, reading and exporting keep working, and nothing is deleted for non-payment. Taxes are added where the law requires them.

8. Availability and support

We run the service with care, but we make no commitment on availability, response times or support until we have measured them and published a commitment. The service can be interrupted for maintenance or because of events beyond our control. Support is by email at [email protected].

9. Warranty

We warrant that the service performs materially as described in its documentation. If it does not, our remedy is to fix it or, if we cannot, to refund what you paid for the affected period. We give no other warranty, express or implied, to the extent the law allows, including any warranty that the service is uninterrupted, error free or fit for a particular purpose, or that any page will print.

10. Limit of liability

To the extent the law allows, our total liability to you for all claims about the service is limited to the fees you paid us in the 12 months before the event, or CAD 100 if you paid nothing. We are not liable for lost profit, lost revenue, loss of data, or indirect or consequential damage, even if we were told it could happen. This includes the consequences of a page that did not print, printed late, or printed twice.

Nothing in these terms limits a liability that the law does not allow us to limit, including liability for our intentional or gross fault, or for bodily or moral injury.

11. Ending

You can stop using the service at any time. An owner can delete the organization: Deleting an organization erases everything, jobs and their history included, 30 days after the owner asks; the owner can restore it during those 30 days. One thing is kept: if the organization was billed through Stripe, its Stripe customer number, with the date of the erasure and nothing else of the customer in our database, so that a late message from Stripe is recognised and ignored. When the erasure is carried out, the organization's subscriptions at Stripe are cancelled, so Stripe stops billing it; that number is never linked to an organization again.

We can suspend or end your access if you break these terms or the acceptable use policy, or if the law requires it. We suspend only as far as needed and we tell you why, except where an attack or a legal duty means we cannot. We can also end free use with 30 days' notice. After the end, what we keep and for how long is in the privacy policy.

12. Changes

We can change these terms and the service. We tell the owners of your organization by email at least 30 days before a change to these terms takes effect, and at least 90 days before we remove a feature or stop supporting a version of the API. If a change is worse for you, you can end the agreement before it applies.

13. Law and disputes

These terms are governed by the laws of the Province of Québec and the federal laws of Canada that apply there. The courts of the judicial district of Montréal have exclusive jurisdiction, and the United Nations Convention on Contracts for the International Sale of Goods does not apply.

These terms are published in French and in English. For a customer in Québec, the French version prevails if the two differ. Elsewhere both are equally authoritative.

14. General

  • These terms, the acceptable use policy, the privacy policy and the data processing addendum are the whole agreement about the service.
  • We send notices to the email addresses of your organization's owners; you send yours to [email protected].
  • You may not transfer the agreement without our consent. We may transfer it to a company that takes over the service, and we will tell you.
  • If a part of these terms is not valid, the rest stays in force.
  • You promise not to use the service in breach of export controls or sanctions that apply to you.
  • If we do not use a right at some moment, we have not given it up.
